What it costs you today

In a firm with a board of 8 directors and 12 meetings a year, the executive papers circulate by email or encrypted PDF, and a week before the meeting the CFO realises that 3 directors never received the latest version of the budget paper. The minutes live on the CEO's laptop or the corporate secretary's, without formal signature, and when a new director joins it takes 3 weeks to reconstruct the history of decisions. The accidental leak of a strategic paper through human error triggers a material insider-information event that the regulator can sanction, and the traceability of minute approval is practically non-existent for audit. Executive papers live in a dedicated SharePoint with Restricted and Confidential sensitivity labels applied at document and site level, and each director logs into the board space with their own account and sees only the papers they should see according to the agenda. A custom SPFx web part lets them annotate and sign observations directly on the paper, and the minutes are digitally signed with a timestamp and stored in Dataverse with per-member traceability. The corporate secretary sees the read check-in per director and exports the evidence pack for the notarial minute. The visible output is the boardroom with signed papers, a read-attendance dashboard and the chronological archive of decisions. The solution is in production at a corporation with a 7-member board. The investment pays back with a single insider-information event avoided.
